Terms of Service

Please read these Terms of Service ("Terms") carefully before using the LinkJolt platform accessible at https://www.linkjolt.io. LinkJolt is a trading name of POSTLAZY LTD ("LinkJolt", "us", "we", or "our"), a private limited company registered in England and Wales under company number 16445277, with its registered office at 18 Riley Avenue, Lytham St. Annes, England, FY8 1HZ.

1. Agreement to Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

LinkJolt is an affiliate management platform for SaaS companies that helps track affiliate marketing campaigns, manage affiliates, and process commissions.

Our platform provides tracking, analytics, and payment infrastructure to help SaaS companies grow through affiliate marketing.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password.

4. Merchant Terms

As a merchant using our platform, you agree to:

  • Pay commissions to your affiliates in accordance with your stated commission rates and payment terms

  • Provide accurate information about your products or services to your affiliates

  • Keep a valid payment method on file to fund affiliate payouts if you use charge-funded payouts

  • Not engage in any fraudulent activity, including self-referrals or artificial traffic generation

5. Affiliate Terms

As an affiliate using our platform, you agree to:

  • Accurately represent the merchant's products or services

  • Comply with all applicable laws and regulations, including disclosure of affiliate relationships

  • Not engage in any fraudulent activity, including self-referrals or artificial traffic generation

  • Not infringe on any third-party intellectual property rights

6. Payment Terms

Merchants are responsible for setting and communicating commission rates to their affiliates. LinkJolt facilitates payments through our platform but is not responsible for disputes between merchants and affiliates regarding commission amounts or payment timing.

We use Stripe as our payment processor. By using our Service, you agree to Stripe's services agreement. All payment accounts and fund flows on the platform are provided and held by Stripe. LinkJolt is not a bank or a licensed money transmitter and does not hold your funds.

Charge-funded payouts (merchants): If your account owner, or a team member you have authorized to manage payouts, enables charge-funded payouts, you authorize LinkJolt to charge the payment method you have selected to fund payouts, or your saved payment method if you have not selected one, including charges made while you are not present (off-session). Each charge covers the amount of an affiliate payout initiated by you or by your automatic payout settings, plus the payout processing fee shown when the terms were accepted. Every charge is itemised in your billing history. You can disable charge-funded payouts at any time in Settings. Disabling turns off automatic payouts and cancels payouts waiting in the queue; approved commissions remain payable by CSV export.
Payout processing fee: Each payout charge includes a payout processing fee of 2.9% plus 30 cents, which reflects payment processing costs. LinkJolt does not add a margin on payouts.
Payout holds and failures: Automated payouts depend on your payment method and on the affiliate's payout account being in good standing, and on the payout currency being supported. A payout can be held or fail, for example if consent has not been given, if no usable payment method is on file, if a charge is declined, or if the currency cannot be settled. Held payouts retry automatically and we notify you. The underlying commission stays approved and payable by CSV export, and LinkJolt does not guarantee that any particular payout completes automatically.
Disputes and reversals: You agree not to dispute legitimate payout funding charges with your card issuer or payment provider. If a payout funding charge is disputed or reversed after funds have been sent to an affiliate, LinkJolt may reverse the corresponding affiliate transfer, offset the amount against future payouts, or suspend payout features, and you remain responsible for the amount. A refund of a tracked sale does not refund the corresponding payout funding charge; commission adjustments are handled through the platform's commission reversal process.
Receipt of payment: A merchant's payment obligation to an affiliate for a commission paid through the platform's automated payouts is satisfied when the funds for that commission are received by Stripe for transfer to the affiliate's connected payout account.
Affiliate payout accounts: Affiliates receiving automated payouts must complete Stripe onboarding for a connected payout account and are subject to Stripe's Connected Account Agreement. Where automated payouts are not used or not available, merchants pay affiliates directly outside the platform (for example by PayPal or Wise using CSV export), and LinkJolt is not a party to those payments.
PayPal payouts (merchants): If you connect a PayPal Business account for payouts, you provide LinkJolt with API credentials for your own PayPal application. We store those credentials encrypted and use them only to send the payouts you or your authorized team members initiate, and to check the status of those payouts. PayPal payouts are sent from your own PayPal balance under your agreements with PayPal; LinkJolt never holds the funds and is not a party to the payment. You are responsible for keeping sufficient balance, for PayPal's own fees, and for the accuracy of the recipient email addresses your affiliates provide. Payments that PayPal cannot deliver, for example when the recipient email has no PayPal account, are handled under PayPal's unclaimed payment rules and are typically returned to your PayPal account after 30 days; we mark the commission payable again when we detect this. You can disconnect your PayPal credentials at any time in Settings, which stops future PayPal payouts; approved commissions remain payable by CSV export.
Taxes: Affiliates are responsible for reporting and paying tax on their commission income. LinkJolt does not currently collect tax forms (such as Form W-9 or W-8BEN), withhold tax, or issue tax forms such as Form 1099 on behalf of merchants or affiliates. Merchants and affiliates are each responsible for their own tax reporting obligations. If we begin filing tax information returns for payouts processed through our automated payouts, we will update these Terms and tell affected users before doing so.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of LinkJolt and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and other countries.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

9. Limitation of Liability

In no event shall LinkJolt, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

11. Platform Messaging

LinkJolt provides an in-platform messaging system that allows merchants and affiliates to communicate about campaign coordination and performance. By using this feature, you agree to the following:

Permitted Use: The messaging system is intended exclusively for campaign coordination, performance discussions, and business communication between merchants and their approved affiliates.
Prohibited Content: You may not use the messaging system to send spam, unsolicited promotions, harassing or threatening messages, illegal content, malware links, or content that violates any applicable laws.
Content Restrictions: Messages are limited to text and URLs (no attachments), with a maximum length of 5,000 characters per message. HTML content is automatically stripped for security.
Monitoring: LinkJolt reserves the right to monitor messages for compliance with these terms and applicable laws. We may review message content in response to reports of misuse or as required by law.
Data Retention: Messages are subject to a global retention period set by the platform. Messages older than the retention period are automatically deleted. You may export your conversation history before deletion occurs.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. You and LinkJolt agree that the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Nothing in this section removes any protection you have under the mandatory consumer law of your country of residence.

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force.
